CloudBudgie Terms of Service
Last updated: October 10, 2026
These Terms of Service (the “Terms”) are a legal agreement between YellowCrest Technologies LLC (“YellowCrest,” “CloudBudgie,” “we,” “us,” or “our”) and the person or organization accepting these Terms (“Customer,” “you,” or “your”). YellowCrest is a New Hampshire limited liability company with a mailing address at 221 Main St, STE R, Nashua, NH 03060, United States.
CloudBudgie provides cloud cost optimization software and related services through cloudbudgie.com and its associated applications, APIs, and integrations (collectively, the “Services”). By creating an account, accepting these Terms electronically, or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Services.
The Services are intended for business and professional use. The Privacy Policy at cloudbudgie.com/legal/privacy describes our handling of personal information and is referenced in these Terms.
1. Eligibility, Accounts, and Authorized Business Use
You must have legal capacity to enter into these Terms and be at least 18 years old or the age of majority in your jurisdiction, whichever is higher. You must provide accurate registration and account information, keep it current, and protect credentials and authentication methods associated with your account. You are responsible for activity undertaken through your account by people you authorize, except to the extent caused by CloudBudgie's breach of its own obligations.
You may use the Services for your own lawful internal business purposes, including evaluating, managing, and optimizing cloud infrastructure and associated operating expenses. This permitted business use is not prohibited merely because your organization conducts commercial activities. You may not resell, sublicense, white-label, or offer CloudBudgie as a standalone service to third parties without our written consent.
You are responsible for determining who within your organization may connect accounts, authorize changes, configure schedules, manage subscriptions, or approve proposed changes. You must have the authority to grant the permissions and provide the information you make available to CloudBudgie.
2. CloudBudgie Services and Customer Responsibilities
CloudBudgie analyzes supported cloud resource configurations, utilization, and related metadata to identify potential opportunities to reduce cloud costs. Depending on the functionality you enable, the Services may provide recommendations, estimates, scheduled operations, customer-authorized changes to live infrastructure, or proposed Infrastructure-as-Code (“IaC”) modifications through pull requests.
The features available to you depend on product support, the permissions and integrations you configure, and applicable plan usage limits. The Services do not replace your responsibility for cloud architecture, security, backups, business continuity, regulatory compliance, cost management, change management, or review of proposed or executed changes.
Before authorizing a change or schedule, you are responsible for considering your workloads, dependencies, recovery requirements, contractual commitments, maintenance windows, and other operational requirements. You remain responsible for charges imposed by your cloud providers and other third parties, including charges that result from your infrastructure configurations or authorized changes.
The Services are not designed or represented as a compliance solution for HIPAA, GLBA, FISMA, or other industry-specific regulated environments. Do not use the Services to process regulated or restricted information where doing so would require safeguards or contractual commitments that CloudBudgie has not expressly agreed in writing to provide. These Terms do not supersede applicable law.
3. Cloud Provider Access and Authorization
To use certain features, you may authorize CloudBudgie to access accounts and services operated by third parties, including cloud infrastructure providers and development platforms (“Connected Accounts”). You represent that you have the rights and authority necessary to grant this access and direct the activities you enable.
CloudBudgie may access, inspect, and process the resource configurations, identifiers, metadata, utilization metrics, operational information, and other information permitted by the roles, credentials, permissions, and integrations you configure. Some features require read-only permissions; others require permissions capable of modifying infrastructure. You decide which supported access mechanisms and features to authorize, subject to applicable technical requirements.
You are responsible for configuring and maintaining third-party account permissions, security policies, trust relationships, application installations, and billing arrangements. You must not grant CloudBudgie unauthorized access to someone else's accounts or resources. CloudBudgie will use granted access for purposes reasonably related to delivering, operating, securing, and supporting the Services, subject to applicable contractual and legal obligations.
Disconnecting an account in CloudBudgie may not itself remove permissions, roles, or application installations maintained with the third-party provider. You are responsible for revoking provider-side access when appropriate. See Section 15.
4. Recommendations, Estimates, and Savings
CloudBudgie's optimization recommendations, savings estimates, cost projections, and resource assessments are informational estimates based on available configurations, utilization information, assumptions, pricing inputs, and other relevant data. Actual charges and savings can differ materially due to workload behavior, cloud-provider pricing, contractual discounts, billing arrangements, demand, configuration changes, and other factors outside CloudBudgie's control.
Identifying an opportunity does not mean a change has been performed or that savings have been realized. Realized savings may require your approval, successful execution or deployment, and continued operation of the affected infrastructure under the assumed conditions. An optimization that appears beneficial from a cost perspective may be unsuitable for your particular reliability, security, or performance requirements.
CloudBudgie does not guarantee any particular cost savings, return on investment, reduction in cloud bills, or continued availability of an identified opportunity. You are responsible for evaluating whether an optimization is appropriate for your organization.
5. Customer-Authorized Infrastructure Changes
Certain Services can perform modifications directly within Connected Accounts when you expressly enable or request that functionality and have granted the necessary permissions. Such modifications may include changes to cloud resource configuration, resource state, operational schedules, or supported optimization settings (“Authorized Changes”).
Direct infrastructure changes are distinct from BudgieBot's IaC pull-request workflow described in Section 6. Where a feature performs Authorized Changes, the change may affect live infrastructure without a separate pull-request approval step. The particular authorization and execution behavior depends on the feature and settings you select.
You authorize CloudBudgie to carry out the specific operations you enable or request. You acknowledge that Authorized Changes can affect performance, availability, connectivity, configuration, billing, and dependent workloads, and that some changes may be difficult or impossible to reverse automatically. You are responsible for maintaining appropriate backups, testing procedures, change approvals, disaster recovery arrangements, and monitoring.
CloudBudgie may display explanations, expected effects, and other context intended to assist your decisions; these materials are not a guarantee that a change is risk-free or reversible. CloudBudgie will not knowingly exceed the scope of the permissions and feature authorizations you provide, but third-party behavior and infrastructure dependencies may affect outcomes. Nothing in this section eliminates CloudBudgie's obligations or liability to the extent they cannot be lawfully excluded.
6. BudgieBot and Infrastructure-as-Code Pull Requests
BudgieBot is CloudBudgie's IaC automation capability. When you request an IaC-based optimization, BudgieBot may examine relevant Terraform or CloudFormation source and technical context, generate proposed code changes, run applicable automated checks, and create a pull request in a repository you have authorized through a supported integration.
BudgieBot does not apply Terraform, deploy CloudFormation, or directly modify live cloud infrastructure through the IaC pull-request workflow. A generated pull request is a proposal, not an executed infrastructure change. You and your authorized repository or deployment systems are responsible for reviewing, approving, merging, deploying, and monitoring such changes, including understanding their possible effects and ensuring they satisfy your change-management procedures.
Generated code, explanations, diffs, and validation results may contain inaccuracies, omit dependencies, or produce unexpected results when deployed. Automated validation is limited in scope and does not establish fitness, completeness, security, or production safety. No infrastructure changes have been applied merely because BudgieBot created a pull request.
CloudBudgie may use third-party AI providers, including OpenAI and Anthropic, to assist with generation of proposed IaC diffs and related explanations. Relevant source snippets, resource identifiers, configuration context, and optimization parameters may be processed to perform the requested task, as described in our Privacy Policy. You are responsible for maintaining appropriate repository permissions and avoiding unnecessary secrets or sensitive data in accessible source material.
7. Automated Operations and Off-Hours Scheduling
CloudBudgie may provide recurring, time-based, event-based, or otherwise automated operations that you configure (“Automations”), including off-hours management of supported resources. Depending on the supported feature, an Automation may stop or start a resource, modify settings, or perform other authorized actions. Some infrastructure types may require deletion and recreation rather than a simple stop-and-start operation, if that functionality is offered and expressly enabled.
You are responsible for selecting suitable resources, configuring schedules and time zones, reviewing dependencies, and determining whether a workload may safely be interrupted, altered, deleted, or recreated. You understand that Automations may execute without a fresh manual confirmation on every occurrence, according to the permissions and schedules you configure.
Operations may be delayed, fail, partially complete, or behave differently than expected because of third-party API availability, permission changes, resource dependencies, capacity limits, rate limits, configuration drift, or other conditions. Restoration or recreation may not occur at the intended time or may not reproduce every aspect of a prior state. You must maintain appropriate safeguards, monitoring, backup and recovery procedures, and an ability to intervene when needed.
Disabling an Automation or revoking access stops or limits future operations to the extent technically possible; it does not necessarily reverse operations already completed or in progress.
8. Subscriptions, Billing, and Cancellation
CloudBudgie may offer a Free plan and paid subscription plans. The features, prices, billing intervals, usage allowances, and other plan terms applicable to your subscription are displayed in our pricing pages or subscription interface at the time of purchase or selection. The Free plan does not require a paid subscription unless you choose to upgrade. Customers retain the savings they realize from their cloud-provider costs; CloudBudgie does not charge a percentage of realized savings under the standard plans described here.
Paid subscriptions recur automatically for the selected billing interval until canceled, unless otherwise stated at purchase. By subscribing, you authorize our payment processor to charge the selected payment method for recurring subscription fees and applicable taxes. Payment processing is handled by Stripe and is also subject to the relevant payment provider's terms. Fees are generally charged in US dollars, unless the checkout interface expressly states otherwise.
You may cancel a paid subscription through available account or billing controls. Unless a different cancellation arrangement is expressly disclosed at purchase or required by law, cancellation takes effect at the end of the paid billing period, and you retain the applicable paid-plan access through that period. Canceling a paid subscription does not necessarily delete your CloudBudgie account, revoke third-party integrations, or reverse prior infrastructure changes. Any transition to a Free plan or loss of features is governed by the product's implemented cancellation behavior and the terms displayed in the subscription interface.
Fees already paid are nonrefundable except where a refund is expressly offered by us or required by applicable law. We may change prices or plan terms for future billing periods with notice as required by law and any applicable contractual commitments. We may correct obvious pricing or billing errors, subject to applicable law.
9. Optimization Evaluations and Usage Limits
An “Optimization Evaluation” generally means an assessment of one cloud resource against one optimization rule or analysis. A resource evaluated against several optimizations may consume several evaluations, regardless of whether any savings opportunity is identified. Evaluation counts, supported resource types, measurement periods, plan allowances, and enforcement rules are determined by your selected plan and the applicable pricing, usage, and product documentation (“Usage Limits”).
CloudBudgie may automatically measure and enforce Usage Limits. When you approach or reach a limit, additional evaluations or other metered activity may be delayed or restricted until available capacity returns, the relevant usage period resets, or you change plans. A scan or other operation admitted while capacity is available may complete even if its final count exceeds the stated allowance. We may permit limited usage above a plan's allowance at our discretion; this is not a permanent entitlement or a promise of future overages.
You are responsible for choosing a plan appropriate to your usage and managing connected accounts, enabled optimizations, and resources accordingly. A Usage Limit does not guarantee that all of your resources will be evaluated during any given period, and results may be incomplete if your allowance is insufficient or an integration is unavailable. We may update evaluation methods or plan allowances prospectively, subject to applicable notice and contractual commitments.
10. Customer Data, Infrastructure Metadata, and Privacy
In delivering the Services, CloudBudgie may access, collect, process, and retain technical information from your connected environments, including resource identifiers, tags, configurations, utilization metrics, operational status, pricing-related information, optimization histories, and related metadata (“Infrastructure Data”). The Services are designed primarily for infrastructure and operational metadata, rather than the contents of your business applications, databases, or stored files. Nevertheless, resource names, tags, repository source, and configurations may contain confidential information, secrets, or personal information.
You retain ownership of your Infrastructure Data and other materials you provide. You grant CloudBudgie a limited, nonexclusive right to access, process, transmit, display, and retain that information as reasonably necessary to provide, maintain, secure, troubleshoot, and support the Services; perform the activities you authorize; and comply with applicable legal obligations. This right does not transfer ownership to CloudBudgie.
You represent that you have the rights and permissions needed to provide such data and to authorize the processing contemplated by the Services. You are responsible for configuring third-party permissions appropriately and avoiding unnecessary sensitive information in data accessible through integrations.
Our Privacy Policy governs our processing of personal information and describes applicable privacy rights, retention practices, and deletion processes. If a separate data processing agreement is executed between you and YellowCrest, that agreement governs the matters it expressly covers in the event of conflict with these Terms. Account cancellation and disconnection do not necessarily cause immediate deletion of all stored Infrastructure Data, logs, billing information, or legal records; applicable retention and deletion rules remain in effect.
11. Third-Party Services and Integrations
The Services rely on third-party cloud providers, APIs, identity systems, code-hosting services, payment processors, and other technology providers (“Third-Party Services”). Your use of those services is subject to your separate arrangements with their operators, including fees, terms, permissions, and acceptable-use policies. Except where expressly stated otherwise, charges from third parties are separate from your CloudBudgie subscription charges.
We do not own or control independent Third-Party Services or their infrastructure, availability, prices, authentication mechanisms, rate limits, or API behavior. Outages, policy changes, service discontinuation, changed permissions, or technical restrictions may limit CloudBudgie's ability to analyze resources, create PRs, or perform authorized operations. We may modify, suspend, or discontinue affected integrations or functionality when reasonably necessary for security, legal, technical, or third-party compatibility reasons, subject to applicable contractual obligations.
Links to third-party websites and materials are provided for convenience; their inclusion does not constitute an endorsement. You should review their applicable terms and privacy practices.
12. Intellectual Property, License, and Feedback
YellowCrest and its licensors retain all rights, title, and interest in the Services, software, designs, documentation, branding, trademarks, and other CloudBudgie technology, excluding Customer materials and third-party property. Subject to these Terms and any applicable plan limits, we grant you a limited, nonexclusive, nontransferable, revocable right during your authorized subscription or account term to access and use the Services for your internal business purposes.
You may use reports, recommendations, and generated IaC proposals produced for your organization in connection with operating and managing your cloud environment, subject to any applicable third-party and open-source rights. CloudBudgie does not claim ownership of your underlying IaC repositories or your Infrastructure Data. Generated material may not be unique and may resemble content produced for other users.
If you voluntarily send product ideas, comments, or suggestions (“Feedback”), you grant YellowCrest a perpetual, worldwide, royalty-free right to use that Feedback to improve, develop, and market the Services, without requiring compensation or attribution. This Feedback license does not authorize us to disclose your confidential Infrastructure Data merely because it appears in a support communication; such data remains subject to Section 10 and applicable confidentiality and privacy obligations.
All rights not expressly granted are reserved.
13. Acceptable Use and Restrictions
You will not, and will not permit others to: (a) access or use Connected Accounts without authority; (b) use the Services unlawfully or to infringe third-party rights; (c) bypass access controls, security safeguards, rate limits, or Usage Limits; (d) attempt to obtain another customer's credentials, data, or resources; (e) introduce malicious code, disrupt the Services, or conduct unauthorized security testing; (f) reverse engineer or reproduce protected portions of the Services except as permitted by nonwaivable law; (g) resell, sublicense, or operate a competing service using CloudBudgie technology without authorization; (h) scrape or systematically extract protected Service content beyond the interfaces and permissions provided; or (i) misuse support channels or submit intentionally false information.
Reasonable automated use through supported APIs, agents, scheduling tools, and integration workflows is permitted when authorized and consistent with published technical limits. Ordinary authorized business activity is also permitted. We may investigate suspected violations and take proportionate protective steps as described in Section 15.
14. Security, Availability, and Changes to Services
We use reasonable technical and organizational safeguards appropriate to the Services, but no online service or infrastructure operation is completely secure or uninterrupted. You are responsible for your own credentials, authorization decisions, cloud-provider security configuration, backups, disaster recovery, and supervision of changes that affect your workloads.
Features may be interrupted or delayed by maintenance, software defects, capacity constraints, cloud-provider disruptions, or other events. Unless a separate written service-level agreement states otherwise, we do not promise a particular uptime percentage, recovery time, or uninterrupted availability.
We may update the Services, correct errors, introduce or retire features, and change supported integrations. We will provide notice of material changes where required by law or binding contractual commitment. Nothing in these Terms requires us to maintain a particular feature indefinitely, subject to applicable law and express commitments.
15. Suspension, Termination, and Access Revocation
These Terms apply while you maintain an account or use the Services. You may stop using the Services or cancel a paid subscription as provided in Section 8. We may suspend or restrict access when reasonably necessary to address suspected unauthorized access, security incidents, violations of these Terms, legal obligations, nonpayment, or material risks to the Services or others. We may terminate an account for material violations or other lawful reasons, with notice where practicable and required by law.
You may disconnect third-party integrations or revoke provider permissions at any time, subject to third-party technical procedures. Doing so may prevent future evaluations, recommendations, pull requests, or automation executions. Disconnection, cancellation, suspension, or termination does not automatically undo infrastructure changes already made, restore resources, close or revert deployed pull requests, or delete cloud-provider roles and installations. You are responsible for removing provider-side access and managing your infrastructure after disconnection.
After termination, rights to access the Services end, subject to any limited functionality expressly offered. Data retention and deletion follow Section 10 and our Privacy Policy. Provisions that by their nature should survive termination—including payment obligations already accrued, ownership, warranty disclaimers, liability limits, indemnification, disputes, and general terms—will survive to the extent enforceable.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, RECOMMENDATIONS, GENERATED CODE, AUTOMATIONS, REPORTS, AND OTHER OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that any optimization is suitable for a particular workload, that generated IaC or automated checks will be error-free, that any Authorized Change will be reversible, or that the Services will be uninterrupted, secure, or free from defects. We do not guarantee any savings or specific cloud-provider billing outcome. No information supplied through the Services creates a warranty that is not expressly stated in a separate written agreement signed by us.
Nothing in this section excludes warranties or remedies that cannot lawfully be excluded.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YELLOWCREST AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, INTERRUPTION OF BUSINESS, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF YELLOWCREST AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, UNDER ANY LEGAL THEORY, WILL NOT EXCEED THE SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO YELLOWCREST IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE CLAIM. For a customer that paid no subscription fees during that period, including a Free-plan customer, this contractual cap is $0, to the extent legally enforceable.
These limitations apply to claims relating to infrastructure changes, scheduling and automation, savings estimates, generated IaC, service interruptions, and third-party dependencies, except where the law does not permit a particular exclusion or limitation. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for conduct or remedies as to which a limitation is prohibited by applicable law.
18. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless YellowCrest and its officers, directors, employees, and agents against third-party claims, damages, liabilities, and reasonable costs and attorneys' fees arising from: (a) your unauthorized or unlawful use of the Services or a Connected Account; (b) your material breach of these Terms or your representations; (c) your infringement or violation of a third party's rights; or (d) Infrastructure Data, source material, permissions, instructions, or operations you provided or authorized, to the extent the claim results from your conduct or content rather than YellowCrest's independent wrongful acts.
We will use reasonable efforts to notify you of an indemnified claim and permit you to participate in the defense. We may assume control of the defense where reasonably necessary to protect our interests, subject to applicable law. You may not agree to a settlement imposing nonmonetary obligations, an admission of fault, or liability on YellowCrest without our prior written consent, not to be unreasonably withheld.
19. Governing Law and Disputes
These Terms and disputes arising from or related to them or the Services are governed by the laws of New Hampshire, without regard to conflict-of-laws principles, except where mandatory applicable law requires otherwise.
Unless mandatory law provides otherwise, the parties agree that legal proceedings arising from these Terms will be brought exclusively in the state courts located in Rockingham County, New Hampshire, or, where federal jurisdiction exists, the United States District Court for the District of New Hampshire. Each party consents to the personal jurisdiction of those courts and waives objections based on inconvenient forum to the extent permitted by law.
These Terms do not require binding arbitration. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any application of the Uniform Computer Information Transactions Act is excluded to the extent permitted by law.
20. General Terms and Contact
Electronic communications. You consent to electronic delivery of agreements, receipts, notices, and other communications relating to the Services where permitted by law. You agree that valid electronic acceptance and signatures may satisfy applicable writing and signature requirements.
Changes to these Terms. We may revise these Terms and will post an updated date. We will provide notice of material changes when required by law or applicable commitments. Changes apply prospectively as permitted by law; continued use after an effective change may constitute acceptance where legally sufficient.
Entire agreement and order of precedence. These Terms, any subscription terms presented at checkout, and any other written agreement expressly incorporated or executed by the parties constitute the applicable agreement for the Services. A separately signed agreement controls over conflicting provisions of these Terms to the extent that agreement expressly addresses the conflict. Our Privacy Policy explains personal-information handling; it does not, by itself, expand any warranty or liability commitment in these Terms.
Assignment. You may not assign these Terms without our prior written consent, except where applicable law provides otherwise. We may assign them in connection with a reorganization, merger, acquisition, or sale of substantially all relevant assets, subject to applicable legal obligations.
Severability and waiver. If a provision is unenforceable, it will be limited or severed to the extent needed, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of future enforcement.
Independent parties. These Terms do not create a partnership, agency, employment, fiduciary, or joint-venture relationship between the parties.
Force majeure. Neither party is responsible for delays or failures caused by events beyond its reasonable control, except for payment obligations already incurred and obligations that cannot legally be excused.
Corrections. We may correct errors in product descriptions, pricing, and related information, subject to applicable law and existing contractual commitments.
California notices. California residents may contact the Complaint Assistance Unit of the California Department of Consumer Affairs, Division of Consumer Services, at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210 or (916) 445-1254, where applicable.
